How We Are Structured
BlueBrick operates within an institutional governance framework designed for durability, transparency, and alignment with limited partners across multiple fund vintages.
Corporate Structure
BlueBrick Holdings, LLC is a Delaware limited liability company, parent to the BlueBrick management entities. Each investment vehicle is a Delaware limited partnership with an independent General Partner entity and a dedicated Investment Adviser.
BlueBrick Capital Management, LLC is anticipated to be an SEC-registered investment adviser; Form ADV filings and effective registration date are pending. Once effective, BlueBrick will file annual amendments and material change updates in accordance with the Investment Advisers Act.
Adviser Registration
Prior to first close of any external commitment, BlueBrick will complete Form ADV Parts 1, 2A, and 2B with the SEC. Form ADV documents will be published in the Legal & Disclosures section and delivered to prospective investors during subscription.
BlueBrick maintains a written Compliance Program pursuant to Rule 206(4)-7, including a designated Chief Compliance Officer, annual compliance review, code of ethics, and testing of material policies.
Committees
Investment Committee
Approves every new investment above defined thresholds. Reviews follow-on capital, hold-sell decisions, and material asset events.
Valuation Committee
Oversees quarterly and annual valuation policy, methodology, and adjustments. Reviews third-party valuation input at fair value.
Risk & Compliance Committee
Enterprise, portfolio, cybersecurity, and regulatory risk oversight, with cross-fund escalation authority.
ESG & Stewardship Committee
Reviews environmental targets, community engagement, and material stewardship disclosures.
LP Advisory Committee
Established at each fund with representative limited partners. Reviews conflicts, related-party transactions, and material policy changes.
Audit Committee
Oversees the independent audit relationship and internal control environment for the manager and each fund.

BlueBrick engages leading independent service providers to ensure institutional-grade infrastructure across every fund vehicle.
